Penningtons Manches Cooper advises Shore Capital on the acquisition of Brand Architekts Group plc by Warpaint London plc, and £15 million associated equity fundraising

The corporate team at Penningtons Manches Cooper has advised Shore Capital as sole financial adviser, nominated adviser and sole broker to Warpaint London plc on its acquisition of Brand Architekts Group plc, and the £15 million associated equity fundraising with existing investors, comprising a placing and retail offer.

The recommended cash offer, with a share alternative, which valued Brand Architekts at approximately £14 million, was announced on 5 December 2024 and completed on 12 February 2025.

Warpaint is a specialist supplier of colour cosmetics, selling its portfolio of brands through major retailers, and online, in the UK and internationally. 

The earnings-enhancing acquisition of Brand Architekts – a beauty brand specialist selling to retailers, and online, throughout the UK and internationally – provides Warpaint with an attractive opportunity to supplement its ongoing international organic growth by integrating Brand Architekts’ highly complementary brands into Warpaint’s portfolio, as well as driving greater Brand Architekts profitability through improved efficiency and reduced costs.
