Profile

Caroline is a senior associate in the housing corporate and governance team, and is based in the Birmingham office.

With a specific expertise in charity matters, Caroline’s wealth of knowledge and insight allows her to advise housing associations, charities and educational establishments in respect of corporate, constitutional, governance (including charity law) and regulatory matters. She has particular strengths in advising on governance issues, incorporation and registrations, operational legal matters and transfers and mergers.

Caroline joined Penningtons Manches Cooper in 2022 having previously worked as a corporate solicitor in the private social healthcare sector and, prior to that, as a corporate and commercial solicitor working primarily with charities and educational establishments. She is a member of the Charity Law Association.

Recent work highlights

  • Advising on a merger of two charitable housing associations by means of a transfer of engagements, including drafting the relevant documents and necessary board and shareholding member resolutions.
  • Review of a bespoke grant agreement for a housing association, highlighting areas of risk and advising on a range of solutions to the issues raised thereby.
  • Updating the constitution of a large and well-established management company including advice on key issues and drafting new provisions to meet its current requirements.
